Elite Sales Partner – Terms of Service

Acceptance of Terms
By signing a Statement of Work (“SOW”), paying an invoice, or otherwise using our services, you
(“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree,
do not engage Elite Sales Partner (“ESP,” “we,” “our,” or “us”).
Scope of Services
We provide digital marketing and sales enablement services, which may include:
- Paid media planning and management (e.g., Google, Meta)
- Website design and development
- Sales funnel strategy and automation
- Creative design and copy writing
- Reporting and performance analysis
The specific scope, timeline, and pricing will be set out in each SOW.
Client Responsibilities
You agree to:
1. Provide timely access to information, assets, and decision-makers.
2. Review and approve deliverables within seven (7) calendar days unless otherwise stated.
3. Pay all invoices on time. Late payments incur 2% monthly interest.
4. Ensure materials you provide do not infringe rights or violate laws
Fees & Payment
- Deposits: Work begins after receiving a 50% non-refundable deposit
- Retainers: Billed monthly in advance; cancel anytime with 30 days’ written notice
- Media Budgets: Non-refundable once paid to third-party platforms.
- Expenses: Pre-approved out-of-pocket costs invoiced with up to 10% handling
Changes & Out-of-Scope Work
Additional work not listed in the SOW requires a written change order and may affect timeline and fees.
Intellectual Property
- Client Materials: You own content/trademarks you provide.
- ESP Deliverables: Once paid in full, you get a license to use the deliverables.
- Tools & Templates: ESP retains rights to methods and templates but grants you a license to use them
as part of your project.
Confidentiality
Both parties agree to protect confidential information. This obligation continues after the agreement
ends.
Warranties & Disclaimers
We will provide services professionally and as described. However, results (e.g., traffic, leads, sales)
are not guaranteed due to factors beyond our control.
Limitation of Liability
ESP’s total liability is limited to fees paid in the three months before a claim. We are not responsible for
indirect or consequential damages.
Indemnification
You agree to indemnify ESP against claims resulting from:
- Materials you provided.
- Your legal violations.
- Your legal violations.
- Misuse of our deliverables.
Term & Termination
Either party may terminate for breach if not resolved within 14 days’ notice. Upon termination, you must
pay for work completed. Sections 6–10 and 12 survive.
Governing Law & Dispute Resolution
These Terms are governed by Ontario, Canada law. Disputes will be resolved through negotiation or
arbitration in Toronto.
Updates to Terms
We may update these Terms periodically. Continued engagement after changes means you accept the
new Terms.
